Terms of service

Please read these terms carefully before using NotaryPal. They govern your access to and use of our notary booking platform.

1. Acceptance of terms

By accessing or using NotaryPal (the "Platform"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Platform. We may update these Terms from time to time — continued use after changes constitutes acceptance.

2. Description of service

NotaryPal is an online marketplace platform that connects individuals and businesses seeking notarization or commissioning services with licensed notaries public and commissioners of oaths across Canada. We facilitate the discovery, scheduling, and payment process. NotaryPal is not itself a notary service, law firm, or legal advisor. Each notary and commissioner on our Platform operates as an independent professional under the authority of their respective provincial or territorial licensing body.

3. Eligibility

You must be at least 18 years of age and legally capable of entering into a binding agreement to use the Platform. By creating an account or making a booking, you represent and warrant that you meet these requirements and that all information you provide is accurate, current, and complete.

4. User accounts

You may be required to create an account to access certain features. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to: provide accurate and complete registration information; update your information as necessary to keep it current; notify us immediately of any unauthorized use of your account; and not share your account with or transfer it to another person.

5. Bookings and payments

When you book a notary through the Platform, you enter into a direct service agreement with the notary professional — not with NotaryPal. Prices displayed include the notary's service fee and any applicable add-ons (mobile visit fee, witness fees). Provincial and federal taxes (GST, HST, PST) are calculated and applied automatically based on the appointment location. Payment is processed securely at the time of booking through our PCI-compliant payment processor. NotaryPal collects payment on behalf of the notary and remits their portion after the appointment is completed.

6. Cancellation and refunds

Bookings may be cancelled or rescheduled subject to our Refund Policy. In summary: cancellations more than 24 hours before the appointment receive a full refund; cancellations 12–24 hours before receive a 50% refund; cancellations less than 12 hours before or no-shows are not eligible for a refund. 7. Notary responsibilities and limitations

Notaries and commissioners on the Platform are independent professionals responsible for: verifying the identity of signers; witnessing signatures; administering oaths and affirmations; and ensuring documents meet applicable legal requirements. NotaryPal does not provide legal advice, does not verify the legal validity or enforceability of your documents, and is not responsible for the content of documents you present for notarization. 8. User conduct

You agree not to: use the Platform for any fraudulent, illegal, or unauthorized purpose; present false identification or fraudulent documents for notarization; interfere with the operation, security, or performance of the Platform; attempt to circumvent the Platform to avoid service fees; harass, abuse, threaten, or discriminate against notaries or other users; scrape, data-mine, or reverse-engineer any part of the Platform; or use automated systems (bots) to access the Platform without our written permission.

9. Intellectual property

All content, trademarks, logos, designs, software, and intellectual property on the Platform are owned by or licensed to NotaryPal and are protected by Canadian and international intellectual property law. You may not reproduce, distribute, modify, create derivative works from, or publicly display any Platform content without our prior written permission. The "NotaryPal" name and logo are registered trademarks.

10. Limitation of liability

NotaryPal acts as a marketplace connecting users with independent notary professionals. To the maximum extent permitted by Canadian law, NotaryPal is not liable for: the quality, accuracy, or outcome of notary services performed; disputes between users and notary professionals; any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform; any loss resulting from unauthorized access to your account; or service interruptions, technical failures, or data loss. Our total aggregate liability for any claim arising from these Terms or your use of the Platform is limited to the total fees you paid to NotaryPal in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless NotaryPal, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising from: your use of the Platform; your violation of these Terms; your violation of any applicable law; any documents you submit for notarization; or any dispute between you and a notary professional.

12. Governing law and dispute resolution

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes arising from these Terms or your use of the Platform shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to binding arbitration in Toronto, Ontario, under the rules of the ADR Institute of Canada, except where prohibited by law.

13. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

14. Changes to terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email to registered users and/or by prominent notice on the Platform at least 30 days before they take effect. Your continued use of the Platform after the effective date of revised Terms constitutes acceptance. If you do not agree to the revised Terms, you must stop using the Platform and may request account deletion.
